BY-LAWS  (IN GERMAN)

of the European Feed Microbiology Organisation (EFMO)

 

 

Article 1   Name, seat and business year

1.   The association bears the name "European Feed Microbiology Organisation" (EFMO). 
The EFMO   is an international organisation with seat in Leipzig.  

2.   The financial year is the calendar year.

 Article 2   Purpose

 1.   The purpose of the EFMO is it to form an international forum for all domains of feed microbiology. It offers microbiologists, veterinarians, farmers, technologists and other scientists of diverse orientations, which are entrusted with micro-biological investigations and evaluations of feeds, the possibility of exchange of experience and advanced training. This particular by-law topic is achieved by the execution of scientific meetings and ring analyses.

 2.   The EFMO pursues exclusively and directly non-profit purposes in the sense of the section "tax-privileged purposes" of the tax code. The association is independent in its activities; it does not pursue primarily self-economical purposes.

 3.   The means of the association may only be used for the statutory purposes. The members do not receive allowances from the association. They do not receive compensations when they quit  the organisation or when it is dissolved. No expenditures are given to persons, when these fees are not  within the purposes of the association, or when they represent disproportionately high reimbursements of costs or other remuneration favors. The work of the executive committee takes place without remuneration.

 4.  The EFMO finances its approved tasks by membership dues, by the execution of ring analyses, by the supply of microbiological test and indicator strains, by public subsidies and by donations.

 Article 3      Activities of the EFMO

 The EFMO seeks to reach their purpose primarily

a)      by the organisation of scientific meetings including workshops in different locations 

b)      by the execution of ring analyses and laboratory comparative studies like proficiency testing

c)      by the supply of standardised and validated microbiological methods and judgment criteria  for feedstuffs

d)      by publications in print and electronic media

e)      by an updated website

f)        by maintaining good contacts to research and educational facilities as well as other organisations and institutions, which are busy with microbiological and animal nutrition topics

g)      by maintaining good contacts with the feed industry and their research and development departments

h)      by maintaining good contacts to national authorities and organs of the European Union

 Article 4    Language

 The language for official correspondence and publications is English.

 Article 5    Membership

1.       All natural persons of any country can be members, if they are interested by the topics specified under Article 2. They acquire their membership by means of a written candidature, approved by the executive committee at simple majority.

2.       The members have seat and voice in the general meeting of the members and in extraordinary meetings. An annuity is raised from the members. The height of the contribution is determined by the general meeting of the members. Paying of the contribution is due without special request in the first quarter of the calendar year.

 Article 6    Membership loss

 The membership expires by death, by withdrawal by means of written explanation or by exclusion. The  withdrawal is possible and effective only at the end the calendar year by means of a written explanation to the executive committee. The membership expires, without prejudice to existing requirements of the EFMO, if two annuities were not paid despite reminder and reference to the possibility of loss of the membership. Expulsion of a member for important reason can be decided by the executive committee.

 Article 7    Organs and mechanisms

 The organs of the society are:

1.       the general meeting of the members

2.       the executive committee

 Article 8    The executive committee

 The executive committee leads the business of the association. It consists of the chairman and its deputy, who secretaries and treasurer. The executive committee is elected for two years. The members of the executive committee are in the sense Article 26 BGB single entitled to act as substitute.

 Article 9    General meeting of the members

 The general  meeting of the members is usually called up in every of 2 years. The members are convened at least 14 days in writing prior to the meeting with an order of business.

 A 2/3-majority, related to the present members, is necessary for amendments of the by-laws. The resolutions of the general meeting of the members are to be logged and be signed by the respective chairman and the secretary.

 Article 10    Dissolution

 For the dissolution of the EFMO it requires a resolution of the general meeting of the members with three quarters majority, related to the present members. In the case of dissolution or abolition of the association, or with omission of its past purpose, the fortune falls to a non-profit scientific organisation, which has to use it accordingly the past non-profit purposes of the EFMO.

 Article 11    Entry into force

These by-laws enter into force on October 27th, 2005.
